Drop Zone Terms of Service

These Terms of Service ("Terms") govern your access to and use of Drop Zone (the "Service"), operated by DropZone Cards LLC, an Iowa limited liability company ("we," "us"). By creating an account, connecting your eBay store, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. What Drop Zone is
Drop Zone is a seller-operations tool that helps you manage an eBay store — analyzing listings, suggesting and applying pricing changes, sending buyer offers, running promotions, revising titles and item specifics, and organizing inventory into bundles. You remain the seller of record for every listing; Drop Zone acts only as your tool and agent within the limits you configure.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of a business or other entity, you represent that you are authorized to bind that entity to these Terms, and "you" refers to that entity. The Service is a business tool and is not directed to consumers for personal, household, or minors' use.
3. An actively developed service
Drop Zone is actively developed: features may be added, improved, or retired over time, and the Service is provided on an "as-available" basis. Material changes that affect what you pay for are announced before they take effect.
4. Authorization to act on your store
When you connect your eBay account and start a trial or subscription, you authorize Drop Zone to take actions on your live eBay listings on your behalf, including sending Best Offers, creating and ending promotions, adjusting prices, and revising titles and item specifics. These actions are constrained by the settings and limits you provide — your margin floor, do-not-touch list, cost basis, ad opt-in and cap, and shipping regime — and by the structural safeguards described in the Drop Zone Constitution. You can review these actions, change or stop your settings, and revoke Drop Zone's access to your eBay account at any time. You are responsible for reviewing and approving new listings; nothing you have not approved is listed automatically.
5. No guarantee of results; disclaimer of warranties
Drop Zone does not guarantee any particular sales, revenue, ranking, visibility, or outcome. Marketplace results depend on many factors outside our control, including eBay's own systems and policies, demand, and pricing. Except for the Floor Guarantee in Section 6, the Service is provided "as is" and "as available," without warranties of any kind, express or implied — including, without limitation, implied warranties of merchantability, fitness for a particular purpose, and non-infringement — to the fullest extent permitted by law.
Card identification is machine-generated. Drop Zone identifies cards, parallels, serial numbers, rookie status, autograph status and other attributes using automated image analysis and third-party data. These are estimates, not determinations. Drop Zone does not authenticate cards, does not grade cards, does not assign or predict any grade, and does not verify that any card is genuine, correctly attributed, or accurately described. Comparable-sales and pricing figures are likewise estimates drawn from marketplace data and are not appraisals or statements of value. Every listing remains your representation to your buyer: you are responsible for verifying a card's identity, authenticity and condition before it is listed, and for the accuracy of what you publish. Where the Service flags a card for manual review, that flag is a request for your judgment, not a substitute for it.
Not financial, tax, or business advice. Drop Zone provides software tools, market estimates, and suggestions to help you operate your own store. It does not provide financial, investment, tax, accounting, legal, or professional business advice, and nothing the Service or its AI assistant produces is such advice or a recommendation to buy, sell, or hold any asset. Pricing suggestions, "profit" and comparable-sales figures, and store recommendations are informational estimates only; all business and financial decisions, and their consequences, are yours.
6. The Floor Guarantee
Which plans carry it. The Floor Guarantee is included with the Store Operator plans, which run automation on your listings. The free trial and the Store Advisor plan do not run automation — you approve every action yourself — and therefore do not carry the Floor Guarantee. The guarantee indemnifies breaches our automation causes; where there is no automation, there is nothing for it to indemnify. It also requires that automation to actually be running: on a qualifying plan the guarantee is live only while every automation lever is switched on and writes are not paused (see (g) below), it never applies to bundles, in any format (see (h)), and it never applies to Consignment & Clearance, where the floor is the one you agreed with your consignor (see (i)).
If the Service’s automation ever lists an item, applies a price, or accepts a Best Offer below the margin floor you had configured at the time of the action, we will refund you the difference between your configured floor and the executed price for each affected listing — a refund to your payment method, not store credit.
Conditions, stated plainly: (a) the guarantee covers actions taken by Drop Zone automation and suggested actions you approved at the price the Service suggested — if our number was below your floor and you trusted it, that is our error, not yours; it does not cover prices you set yourself; (b) it is measured against the floor settings in effect at the moment of the action, as recorded in the action journal; (c) claims must be reported within thirty (30) days of the action, and the journal record is the reference for what happened; (d) the remedy is a refund of the difference; (e) the guarantee does not apply where you instructed the Service to bypass a floor or safeguard using an explicit override; (f) the guarantee covers breaches caused by our automation, not breaches that follow from a setting or format you selected; and (g) the guarantee requires your store to be running fully automated. It applies only on plans that permit autonomous execution — not the Trial and not Advisor, neither of which runs automation at all — and only while every automation lever is switched on and writes are not paused. Switching off any one lever (bundling, ad promotions, or automatic offers), or pausing writes, takes the guarantee off the table for your whole store until you switch it back on. We indemnify what we run; we cannot indemnify a store we are only partly running.; (h) the guarantee does not apply to bundles, in any format. A bundle is a lot of three or more cards priced as a lot, so the per-card floor — derived from a single card's cost basis — has no meaning against it, and we do not enforce one on a bundle listing. On the auction format the market sets the closing price outright; on a fixed-price lot the ask you set is the protection. Your single listings are unaffected and keep both the floor and this guarantee. You control real levers — among them running a card as an auction (where the market sets the closing price and the floor does not apply), releasing a card from protection, changing your pricing posture, choosing a bundle format, and setting or editing the cost inputs from which your floor is computed. Where a sale falls below your floor as a consequence of a choice you made, that is not an error by the Service and no refund arises under this Section. (i) the guarantee does not apply to Consignment & Clearance. Where you list an item you received from a consignor, or run a bounded clearance run against a deadline, the operative floor is the one you agreed with your consignor or set for that run — not a floor derived by the Service, and not one the Service enforces. Drop Zone will not override that number, will not raise it, and will not hold up a sale in order to apply a floor of its own: you have an agreement with a third party to complete, and the Service does not stand between you and it. Nothing in this Section creates any obligation of ours in respect of that agreement, and no refund arises under this Section for any sale made under it. Your ordinary single listings on your own inventory are unaffected and keep both the floor and this guarantee. Each such choice is labelled at the point you make it, and the action journal records which settings were in effect. This is a real financial commitment, and we can offer it because the floor is enforced structurally in code — see the Constitution.
7. Your responsibilities
- You must comply with eBay's User Agreement and all applicable marketplace policies. You are responsible for your listings and sales.
- You are responsible for the accuracy of the settings you provide (cost basis, floors, exclusions). Incorrect settings may lead to prices or offers you did not intend.
- You must have the right to sell the items you list and to authorize automated actions on your store.
- You are responsible for keeping your account credentials secure.
- You are responsible for verifying that every item you list is genuine, correctly attributed, unaltered, and accurately described, as set out in Section 9.
No affiliation with eBay or other marketplaces. Drop Zone is an independent third-party tool. DropZone Cards LLC is not affiliated with, endorsed by, sponsored by, or partnered with eBay Inc. or any other marketplace, and "eBay" and other marketplace names and marks are the property of their respective owners, used only to describe interoperability. Your use of eBay is governed by your agreement with eBay; you are responsible for complying with eBay's User Agreement, API License Agreement, and all marketplace policies, and we are not responsible for any marketplace's decisions, including any limitation, restriction, or suspension of your account.
8. Acceptable use
You agree not to, and not to permit anyone to: (a) reverse engineer, decompile, or attempt to extract the source code or models of the Service, except to the extent this restriction is prohibited by law; (b) copy, resell, sublicense, rent, or provide the Service to third parties as a service bureau; (c) access the Service by automated means, scrape it, or circumvent its rate limits, security, or usage restrictions; (d) use the Service to violate any law, infringe any right, or violate any marketplace's policies; (e) interfere with or disrupt the Service, other customers' use of it, or its infrastructure, or attempt to access data that is not yours; (f) upload malware or use the Service to list counterfeit, stolen, or otherwise prohibited items; or (g) use the Service to build a competing product. We may investigate and take appropriate action, including suspension or termination, for any suspected violation.
9. Authenticity, alteration, and misrepresentation
We never see, handle, or examine your cards. The Service operates solely on images and data you supply and on third-party marketplace data. No person at Drop Zone inspects a physical item at any time, and nothing the Service produces is based on physical examination.
We do not authenticate, grade, or appraise. Drop Zone is not an authenticator, grading company, appraiser, or expert. It does not certify or opine on whether any item is genuine, does not assign or predict any grade, and does not participate in or submit items to any marketplace authentication program, including eBay's Authenticity Guarantee.
Items this Section covers. Without limiting the foregoing, Drop Zone makes no representation, gives no warranty, and accepts no responsibility whatsoever regarding any item that is, may be, or is later determined to be:
- counterfeit, forged, bootleg, or a reproduction;
- a reprint, reissue, or later-production card offered, treated, or mistaken as an original;
- trimmed, recut, recornered, or otherwise reshaped;
- recolored, retouched, restored, pressed, cleaned, soaked, waxed, or otherwise altered to change its appearance or apparent condition;
- re-backed, rebuilt, laminated, or assembled from parts of more than one item;
- bearing a serial number, print run, foil, stamp, or parallel treatment that has been added, removed, altered, or fabricated;
- bearing an autograph that is forged, autopen, stamped, pre-printed, secretarial, clubhouse, or otherwise not personally signed by the named individual;
- bearing a relic, patch, swatch, or "game-used" or "player-worn" element that is fabricated, swapped, or not what it is represented to be;
- encased in a counterfeit, tampered, re-sealed, cracked-and-reholdered, or re-labeled grading holder;
- bearing a certification or serial number that is fabricated, duplicated, altered, or does not match the item in the holder; or
- otherwise misattributed, misdescribed, or misrepresented in any respect.
Identification output is a suggestion, never a determination. Any identification, attribution, parallel or variation call, serial-number reading, autograph flag, condition signal, or comparable-sales figure the Service produces is machine-generated, probabilistic, and may be wrong. It is provided for your convenience as a starting point. It is not a certification, an opinion of genuineness, an appraisal, or advice, and it does not reduce your obligation to verify an item independently before listing it.
You are the seller of record. You alone are the seller in every transaction. All obligations to your buyers, to eBay or any other marketplace, and under applicable law — including obligations concerning authenticity, description, disclosure, returns, refunds, chargebacks, and any marketplace money-back or authenticity guarantee — are yours. Drop Zone is never a party to your sales, never takes title to or possession of any item, and is not a dealer, broker, consignee, or selling agent.
Consigned and third-party items. If you list items received from consignors or any other third party, you are solely responsible for their authenticity, provenance, condition, description, and your right to sell them, and for every arrangement between you and that third party. The Service's consignment features are recordkeeping tools only: they do not verify, vouch for, or accept responsibility for any consigned item or any consignor.
No liability. To the fullest extent permitted by law, Drop Zone and DropZone Cards LLC will have no liability of any kind for any loss, cost, penalty, fee, refund, return, chargeback, account restriction, suspension, transaction defect, reputational harm, enforcement action, or claim arising out of or relating to any item described in this Section — regardless of whether the Service identified, priced, titled, described, listed, relisted, revised, bundled, or accepted an offer on that item, and regardless of whether the Service failed to detect, flag, or warn about any issue with it. The Service's failure to detect a counterfeit, an alteration, or a misdescription is not a defect in the Service.
Relationship to the Floor Guarantee. The Floor Guarantee in Section 6 concerns price alone. It is not a guarantee of authenticity, genuineness, condition, grade, attribution, or description, and no claim arises under it in connection with any item described in this Section.
Survival. This Section survives any expiration or termination of these Terms and applies to every item listed or sold with the assistance of the Service, whenever listed or sold.
10. Fees and billing
Paid plans are billed monthly in advance through our payment processor (Stripe). Prices and plan allotments are shown before you subscribe. Usage above your plan's included allotment may incur overage charges as disclosed at checkout. Subscriptions renew automatically each month at the then-current price until you cancel, and the recurring charge and renewal date are shown at checkout. You can change or cancel your plan at any time from the billing portal; cancellation stops future charges and takes effect at the end of the current billing period. If you are unhappy with your first paid month, email us within thirty (30) days of your first charge and we will refund it; beyond that, fees already paid are non-refundable except where required by law or provided under the Floor Guarantee.
11. Trial
The free trial runs for the period stated at sign-up and requires your consent before it begins. The trial does not automatically convert to a paid plan — you choose a plan to continue. You may stop the trial at any time.
12. Limitation of liability
To the fullest extent permitted by law: (a) we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages; (b) we are not liable for the acts, omissions, policies, or availability of eBay or any other third-party platform or service; and (c) our total cumulative liability for all claims arising out of or related to the Service will not exceed the greater of (i) the amounts you paid us in the three (3) months before the event giving rise to the claim, or (ii) one hundred dollars ($100). Credits under the Floor Guarantee are in addition to, and do not enlarge, this cap. Some jurisdictions do not allow certain limitations; in those jurisdictions our liability is limited to the fullest extent permitted.
13. Indemnification
You will defend, indemnify, and hold harmless DropZone Cards LLC and its owner, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) the items you list or sell, including their authenticity, condition, description, and lawfulness; (b) your violation of eBay's policies, applicable law, or the rights of any third party; (c) content or data you provide to the Service; or (d) your breach of these Terms. We will promptly notify you of any such claim and may participate in the defense at our own expense. This section does not apply to claims arising from our breach of these Terms or from the Service acting outside the safeguards described in Section 4.
14. Intellectual property & license
Our IP. The Service — including its software, models, algorithms, user interface, text, and the Drop Zone name and logos — is owned by DropZone Cards LLC and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own store operations during your subscription, subject to these Terms. We reserve all rights not expressly granted.
Your content; license to operate. You retain ownership of the data, images, and content you provide ("Your Content"). You grant us a worldwide, non-exclusive license to host, process, transmit, and display Your Content solely to provide and improve the Service for you and to perform the actions you authorize (including sending it to the subprocessors identified in our Privacy Policy, such as our AI provider for card identification). We do not use Your Content to train third-party AI models. You represent that you have the rights necessary to grant this license.
Feedback. If you send us suggestions or feedback, you grant us a perpetual, royalty-free license to use them without obligation to you.
15. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate access if you violate these Terms, misuse the Service, or if required to protect the Service or comply with law or eBay policy. Sections 5, 6, 7, 8, 9, 12, 13, 14, 16, and 17 survive any expiration or termination of these Terms.
16. Changes to these Terms
We may update these Terms. When we make material changes, we will update the version and date above and, where appropriate, ask you to re-accept. Continued use after changes take effect constitutes acceptance.
17. Governing law, arbitration & disputes
These Terms are governed by the laws of the State of Iowa, without regard to conflict-of-laws rules. Before filing any claim, you agree to contact us and allow thirty (30) days to attempt an informal resolution.
Binding arbitration; class-action waiver. Any dispute arising out of or relating to these Terms or the Service that is not resolved through the informal process above will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, on an individual basis. You and we waive any right to a jury trial and to participate in a class, collective, or representative action. The arbitrator, not a court, decides questions of arbitrability, except that either party may bring an individual claim in small-claims court. You may opt out of this arbitration agreement by emailing us at [email protected] within thirty (30) days of first accepting these Terms; if you opt out, disputes will instead be brought exclusively in the state or federal courts located in Polk County, Iowa, and you consent to their jurisdiction. If the class-action waiver is held unenforceable, the remainder of this arbitration provision is void as to that claim, which will proceed in the Polk County courts.
18. Miscellaneous
Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service and supersede any prior agreements.
Severability. If any provision is held unenforceable, it will be limited or severed to the minimum extent necessary, and the remaining provisions remain in full force.
No waiver. Our failure to enforce any provision is not a waiver of it.
Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
Force majeure. We are not liable for any delay or failure to perform due to causes beyond our reasonable control, including acts of God, outages, network or hosting failures, or the acts of any marketplace or third-party provider.
Notices. We may provide notices to you by email or in the Service; you may send notices to [email protected].
